Terms of Service | Smart Dhandha

1. Acceptance of Terms

By accessing or using the Smart Dhandha platform ("Service", "Platform"), operated by Smart Dhandha Systems ("we", "our", "us"), you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Smart Dhandha Systems. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

If you do not agree to these terms, you must immediately cease all use of our Service.

2. Description of Service

Smart Dhandha provides a comprehensive business operating system designed for Indian entrepreneurs and founders. The Platform includes, but is not limited to:

AI-powered HR and Payroll management systems.
Invoicing, billing, and double-entry accounting tools.
Vendor and party management modules.
Agentic workflows and developer API access.
Compliance tracking for Indian regulatory requirements (GST, PT, ESIC, etc.).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, subject to applicable laws.

3. User Accounts & Responsibilities

To access most features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during the registration process.
Maintain the security of your password and API keys. You are solely responsible for all activities that occur under your account.
Notify us immediately at support@smartdhandha.com if you suspect any unauthorized access to your account.
Ensure that your use of the Service complies with all local, state, and national laws in India and any other jurisdiction in which you operate.

4. Payments, Refunds & Cancellations

Smart Dhandha offers various subscription tiers. By choosing a paid plan, you agree to pay the specified monthly or annual fees, including applicable taxes (such as GST at the prevailing rate).

Billing: Fees are billed in advance on a recurring basis.
Cancellations: You may cancel your subscription at any time through your organization settings. Your access will remain active until the end of the current billing cycle.
Refunds: Unless required by law, all payments are non-refundable. We do not provide prorated refunds for partial months of service.

5. Intellectual Property

The Platform, including its code, design, logos, and AI algorithms, is the exclusive property of Smart Dhandha Systems.

Our Content: We grant you a limited, non-exclusive, non-transferable license to use the Service as intended.
Your Content: You retain all rights to the data you upload (Employee records, invoices, etc.). However, you grant us the right to process this data strictly for the purpose of providing and improving the Service to you.

6. API Usage & Integration

Our developer API allows for deep integration with your existing business tools. Use of the API is subject to:

Adherence to the rate limits specified in our documentation.
Prohibition on using the API to scrape data or build competitive products.
Responsibility for maintaining the confidentiality of your API keys.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or delete your organization from the dashboard.

8. Disclaimers & Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. SMART DHANDHA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Smart Dhandha Systems shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use our Service, including but not limited to loss of data, profits, or goodwill.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts in Rewa, Madhya Pradesh.
